An online call about your plans, your situation and the right structure. You receive a clear proposal with fixed fees.

Structure and documents
We advise on the structure, for example a holding and operating company, and prepare the documents together with the notary.

Incorporation
The civil-law notary executes the deed of incorporation and registers your BV with the Chamber of Commerce (KVK).

Registrations
We make sure the UBO registration, VAT number and tax registrations are in place, and help you with a business address and bank account.

Up and running
Your bookkeeping starts on day one. You submit invoices through the app or email, and we handle VAT returns and annual filings.

The Dutch BV
The Dutch BV in brief
Most international entrepreneurs choose a BV (besloten vennootschap), the Dutch private limited company. These are the basics.
- Incorporation
- By a civil-law notary, through a notarial deed with articles of association
- Minimum share capital
- € 0.01
- Registration
- Chamber of Commerce (KVK) Business Register, plus the UBO register
- Business address
- A physical address in the Netherlands. A P.O. box is not accepted
- Liability
- In general the BV is liable for its debts, not you personally
- Taxes
- Corporate income tax on profits, VAT, dividend tax on distributions, and payroll tax if you employ staff or pay yourself a salary
- Records
- Keep your business records for at least 7 years

FAQ
Frequently asked questions
Can I set up a Dutch BV if I don't live in the Netherlands?
Yes. Non-residents can set up a BV in the Netherlands. The company needs a physical business address in the Netherlands, and you need to identify yourself at the notary. We coordinate the process with you.
How much share capital do I need?
The legal minimum share capital for a BV is € 0.01. In practice you choose an amount that suits your plans and your bank.
How long does it take?
Once all documents are complete, the incorporation itself can be arranged quickly. Opening a business bank account often takes the longest. In the intro call we give you a realistic timeline for your situation.
Do I need a Dutch bank account?
In practice, yes: customers, suppliers and the tax authorities expect a Dutch or EU business account. For non-residents this can take extra time, so we help you prepare the application.
Which taxes will my BV pay?
Your BV pays corporate income tax on its profits and handles VAT on its sales. Dividend tax applies when profits are distributed, and payroll tax when the company pays salaries. We take care of the returns.
Do I have to pay myself a salary?
Director-shareholders with a substantial interest who work for their BV are in principle expected to receive a customary salary. Whether and how this applies depends on your situation, for example where you live. We look at this with you.
Can you also help if I already have a Dutch company?
Yes. We can take over your bookkeeping and tax returns and make sure everything is up to date.
